This site and the content provided in this site, including, but not limited to, graphic images, audio, video, html code, buttons, and text, may not be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way, without the prior written consent of Knexus, except that you may download, display, and print one copy of the materials on any single computer solely for your personal, non-commercial use, provided that you do not modify the material in any way and you keep intact all copyright, trademark and other proprietary notices.

This portal and its contents are provided "as is" and Knexus makes no representation or warranty of any kind with respect to this portal or any website or service accessible through this portal. Knexus Digital - Terms & Conditions

Knexus Digital (a business division of Knexus Limited hereafter referred to as ‘Knexus’) provides its services subject to the following Terms and Conditions:

LICENSE TO BE PROVIDED

Knexus will provide a license exclusively to each customer (not to include partners, re-sellers, distributors, associates or otherwise).

LICENSE

A License is available on either a monthly or annual contract basis. A monthly contract is for a minimum period of three months and thereafter, continues on a monthly basis, subject to the relevant clauses in 'Termination of License'. An annual contract is for a period of 12 months.

A license starts on the first day of the month if you join before the 15th day of that month or on the last day of the month if you join after the 15th of the month. The annual contract shall be automatically renewed for a period of twelve months, unless terminated in accordance with the relevant clauses in 'Termination of License'.

Users nominated to be included on a license by the Customer must be full time employees of the operating business that has paid for the license.

A license provides access to Knexus' services for the nominated individuals, in accordance with services included in the license.

A license provides access to a range of online and offline services (subject to License Type). However, Knexus reserves the right to restrict access in situations where a clear, competitive conflict of interest may exist between two license holders.

SERVICES PROVIDED

Knexus will provide customers with the services included in their chosen License Type.

Customers understand and agree that these services may include communications from Knexus as part of the license, and customers will not be able to opt out of receiving them.

Customers understand and agree that these services are provided "AS-IS" and that customers are responsible for obtaining access to the Portal and that access may involve third party fees (such as Internet service provider or airtime charges). In addition, you must provide and are responsible for all equipment necessary to access the portal.

COMBINED RESPONSIBILITIES

Knexus and the customer will provide the other party with all contact information for Knexus team people and those to be involved from the customer company. If people change, the other party will be notified immediately in writing.

Each party shall use its best endeavours to safeguard the intellectual property, confidential information and proprietary rights of the other party.

Neither party shall disclose these Terms and Conditions or the subject matter of the license (including, without limitation, the content of the Schedules, the list of the Licensed Materials and any usage data compiled and supplied, or any other information about the other party's business) to any third party without the prior written consent of the other. This provision shall survive the termination of this license, and any information obtained or received which comes within these restrictions shall remain confidential, PROVIDED always that this obligation shall not apply to any information which at the time of disclosure is in the public domain or is made available at any time by an independent third party which has not obtained it directly or indirectly in breach of any confidentiality agreement with either of the parties hereto.

CUSTOMER RESPONSIBILITIES

The customer will provide the necessary assistance to effectively carry out the services outlined in the proposal.

The customer agrees to indemnify, defend and hold harmless Knexus, its officers, directors, employees, agents, licensors, suppliers and any third party information providers to the portal from and against all losses, expenses, damages and costs, including legal fees, resulting from any violation of the Terms and Conditions (including negligent or wrongful conduct) by a member or member's use and access of the Portal.

Customers may not use any device, software or routine to interfere or attempt to interfere with the proper working of the Knexus portal or any account on our site.

Customers may not take any action which imposes an unreasonable or disproportionately large load on our infrastructure.

Customers may not disclose or share your password(s) or provide them to any third parties or use your password(s) for any unauthorised purpose.

Under no circumstances can a nominated individual on a license provide access for a non-nominated individual, to the password protected areas of the Knexus portal.

Any Content created by Knexus for the benefit of the customers, that refers to content relating to customers, other than content already available in the public domain, may not be copied, reproduced or distributed beyond the nominated customers, unless explicit, written permission has been provided by Knexus.

Customers may print and download portions of material from the different areas of the portal solely for their own non-commercial use provided that they agree not to change or delete any copyright or proprietary notices from the materials (certain areas require paid license fee prior to downloading any material).

Customers are responsible to ensure that only Authorised Users are permitted access to the Materials.

License holders are responsible to ensure that all Authorised Users are appropriately notified of the importance of respecting the intellectual property rights of the portal's content and that they are made aware of and undertake to abide by the terms and conditions of this License.

License holders are responsible to keep full and up-to-date records of all Authorised Users and their access details and provide Knexus with details of such additions, deletions or other alterations as are necessary to enable Knexus to provide Authorised Users with access to the portal as contemplated by the License.

License holders agree to indemnify, defend and hold Knexus harmless from and against any loss, damage, costs, liability and expenses (including reasonable legal and professional fees) arising out of any claim or legal action taken against Knexus related to or in any way connected with any use of the content by License holders or Authorised Users or any failure by the license holders to perform its obligations in relation to the License.

KNEXUS RESPONSIBILITIES

Knexus will provide a main contact person and his/her contact details, which license holders will be able to contact at their own convenience.

Knexus will provide nominated individuals within a license with user name and password access to the Knexus portal. This access may not be provided to any other person, under any circumstances.

Knexus will provide nominated individuals within a license with copies of the Knexus bulletins and unlimited access to the Connection database.

Knexus reserves the right to release current or past user or portal user information if Knexus believes that a license holders account is being used to commit unlawful acts or if the information is subpoenaed.

Knexus will use all reasonable endeavours to make the portal content available to license holders and to Authorised Users at all times and on a 24 hour basis, save for scheduled routine maintenance (which shall be notified to Authorised Users and license holders not less than seven (7) days in advance wherever possible).

CONFIDENTIALITY AND PRIVACY POLICY

The customers and Knexus shall keep in confidence during the term of these Terms and Conditions and for a 2-year period thereafter, any information (whether written or oral) of a confidential nature obtained under these Terms and Conditions and will not disclose that information to any person (other than their employees or professional advisers).

The previous paragraph shall not apply to any information which has been published other than through a breach of these Terms and Conditions; information lawfully in the possession of the recipient before these Terms and Conditions were agreed to; information obtained from a third party who is free to disclose it; information which a party is requested to disclose and, if it did not, could be required to do so by law; and any information that the parties agree to disclose publicly.

Any content created within Knexus as the result of interactions between license holders, guests & Knexus, is generated in strict confidence, on the understanding and expectation that the information will only be accessible and made available to license holders in Knexus, unless explicitly stated otherwise.

Any Content created by Knexus for the benefit of the license holders, that refers only to information relating to license holders that is already available in the public domain, may be distributed beyond the license holders, but may not be copied or reproduced without prior written agreement from Knexus. Examples of this type of information could include surveys, opinon pieces and outputs.

Knexus Ltd. and its associate companies respect customers' rights to privacy. By agreeing to these Terms and Conditions and providing the Registration Data for the purpose of completing the registration process you are providing Knexus with personal information. Knexus will use this information for the purpose of delivering the services stated above. This information will not be passed to 3rd parties outside the group of companies of Knexus and will remain confidential.

PORTAL USAGE

Neither Knexus nor Authorised Users may remove or alter the authors' names or the Publisher's copyright notices or other means of identification or disclaimers as they appear in the content on the portal.

While using the service, users may not:

  1. Restrict or inhibit any other user from using and enjoying the Internet
  2. Post, publish, transmit, reproduce or distribute any content or software, which contains a virus or other harmful component
  3. Transmit any message, information, data, text, software or images, or other content ("Material") that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libellous, or otherwise objectionable that may invade another's right of privacy or publicity
  4. Impersonate any person or entity or falsely state or otherwise misrepresent your license ownership with a different person or entity
  5. Post or transmit any Material that you do not have a right to reproduce, display or transmit under any law or under contractual or fiduciary relationships (such as nondisclosure agreements)
  6. Post or transmit any unsolicited advertising, promotional materials, "junk mail", "spam," "chain letters," "pyramid schemes" or any other form of solicitation or any non-resume information such as opinions or notices, commercial or otherwise
  7. Delete or revise any Material posted by any other person or entity
  8. Register, subscribe, attempt to register, attempt to subscribe, unsubscribe, or attempt to unsubscribe, and any member if you are not expressly authorised by such party to do so.

CUSTOMERS ACCOUNT, PASSWORD AND SECURITY

Users will receive a password and account designation upon agreeing to these Terms and Conditions. Users are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under the use of the password or account. Users also agree to immediately notify Knexus of any unauthorised use of your password or account or any other breach of security. Knexus cannot and will not be liable for any loss or damage arising from the failure to comply with this section.

SPECIAL ADMONITIONS FOR INTERNATIONAL USE

Recognising the global nature of the Internet, users of these services agree to comply with all local rules including, without limitation, rules about the Internet, data, e-mail, or privacy. Specifically, agreeing to comply with all applicable laws regarding the transmission of technical data exported from the UK or the country in which any authorised user resides.

INDEMNITY

Registered users agree to indemnify and hold Knexus, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of Content you submit, post, transmit or make available through the Knexus, your use of these services, your violation of the Terms and Conditions, or the violation of any rights of another.

NO RESALE OF SERVICE

You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of these services use of these services, or access to these services.

MATTERS BEYOND THE REASONABLE CONTROL OF EITHER PARTY

If either party is unable to perform any of its obligations under the Contract due to any matter beyond its reasonable control, then that party shall have no liability to the other for that failure to perform.

PAYMENT

The provision of this license will be to provide usage within the terms stated in these Terms & Conditions and for the authorised users defined in the joining form and through communications with Authorised users.

Termination will not incur any extra fees, and should any user choose to terminate the relationship during the agreed term, Knexus will not refund the difference.

The license will be invoiced in and paid in Pounds Sterling, unless otherwise agreed between the parties.

Any payments due between the parties will be paid within thirty days from the date of invoice, unless payment is to be received via credit card or direct debit, in which case payment is due in advance. If one party fails to pay by the due date, the other party may charge daily interest on late payments at a rate equal to 2% per annum above the base-lending rate of the Bank of England.

Value Added Tax or any other applicable in country sales, use tax or like charge, which is payable shall be added to any such invoices as appropriate.

TERMINATION OF LICENSE

An Annual Contract is for a twelve month period, based on the date upon which the license is confirmed by Knexus, following approval from the Customer. The license will thereafter automatically continue for further periods of twelve months each unless either Party terminates this Agreement by giving to the other Party at any time not less than 30 days' notice, such notice to expire at the end of the current license period.

A Monthly Contract is for a minimum period of 3 months. Thereafter, the license can be terminated at any time by providing 30 days written notice.

Either party may terminate these Terms and Conditions: (a) Immediately on notice if the other party commits a material breach of these Terms and Conditions and fails to remedy that breach within ten days, or such other period as may be agreed between the parties; (b) On reasonable notice if the other party is repeatedly in breach of these Terms and Conditions; or (c) Immediately on notice if the other party is the subject of a bankruptcy order, or becomes insolvent, or makes any arrangement or composition with or assignment or benefit of their creditors, or goes into voluntary (other than for reconstruction or amalgamation) liquidation, or a receiver or administrator is appointed over their assets, or if the equivalent of any such assets under the laws of any of the relevant jurisdictions occurs to the other party.

If either party delays in acting upon a breach of this Terms and Conditions, that delay will not be regarded as a waiver of that breach. If either party waives a breach of these Terms and Conditions that waiver is limited to that particular breach and must be given in writing.

If a breach occurs, all rights to this license will be revoked immediately, upon which all access and usage will be presumed to be suspended forthwith. This will not affect Knexus' right to pursue any subsequent action in the recovery of damages.

The license will terminate automatically if a customer defaults in making payment of the Fee as provided in this license. Upon termination, Knexus will revoke all access to the portal to authorised users outlined in the current license.

REFUND POLICY

Knexus guarantees your satisfaction. All products purchased online from Knexus come with a Money-Back-Guarantee.

If you have purchased a Live Webcast but cannot attend, Knexus will give you a full refund if you let us know 7 days before.

If you have purchased an On Demand content but are not completely satisfied with it, Knexus will give you a full refund within 10 days of your online purchase.

If you have purchased a package but are not completely satisfied with it, Knexus will give you a full refund within 10 days of your online purchase.

LINKS

Knexus may provide links to other Web sites or resources. Because Knexus has no control over such sites and resources, you acknowledge and agree that Knexus is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that Knexus shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such resource.

INTELLECTUAL PROPERTY RIGHTS

Neither Party may use the name, trademark or logo of the other Party in any advertising, news releases, or in any other form without the written consent of such Party.

WARRANTY AND LIABILITY

Knexus warrants that its service shall be performed in a professional and workmanlike manner and that it will provide services in accordance with these Terms & Conditions.

Users warrant that Knexus will have access to the client's nominated inidividuals contact details and other information needed for the satisfactory provision of the service.

Except as otherwise set forth herein, none of the parties will be deemed negligent, at fault or liable in any respect to the other for any delay, interruption in the service hereunder resulting from fire, flood, water, the elements, explosions, war, accidents, labour disputes, strikes, shortage of equipment or suppliers, strikes in public transportation, or other cause beyond the reasonable control of the Party.

Neither party is liable to the other, either in contract, tort (including negligence) or otherwise for any direct or indirect loss of profits, business or anticipated savings, nor for any indirect loss or damage.

Each parties liability to the other in contract, tort (including negligence) or otherwise in relation to these Terms and Conditions is limited to one million pounds sterling.

Each provision of these Terms and Conditions, excluding or limiting liability, operates separately. If any part is held by a court to be unreasonable or inapplicable, the other parts will continue to apply.

NO AGENCY

Knexus and the users of these services are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

NOTICE

Knexus may provide you with notices, including those regarding changes to the Terms and Conditions, by email, regular mail, or portal postings.

TRADEMARK INFORMATION

Knexus Limited and Knexus trademarks and service marks and other logos and product and service names are trademarks of Knexus Limited and or Knexus Group Limited.

DATA PROTECTION

Both parties agree to treat all information provided by users in accordance with all applicable laws and regulations governing the use of personal data, including without limitation the Data Protection Act 1988 and the Telecommunications (Data Protection and Privacy) (Direct Marketing) Regulations 1988.

PRIVACY POLICY

We take your privacy very seriously at Knexus. We will only ever share your details with third parties with your express permission. We will never rent your e-mail address to any third parties. All personal information is collected, held and used in strict compliance with the Data Protection Act 1998. Please read our Privacy Policy for more details.

When you become a Knexus license holder, each nominated individual on your license has their own profile section, which includes contact email and is available to other Knexus customers only.

If you are not an existing customer of Knexus but are interested in our services, we may ask for contact details, including a valid company telephone number and email address. Upon receipt of this, your details will be verified to ensure you meet the criteria for a license. This information is used to contact you about our services.

ANTI-TRUST GUIDELINES

It is Knexus' policy that any interaction among customers will not include:

  1. Any discussion among competitors which attempts to arrive at any agreement regarding prices, terms or conditions of sale, distribution, volume, or territories or customers
  2. Any activity or communication among competitors which includes discussion of prices or pricing methods, production quotas, other limitations on either the timing or volume of production or sale, or allocations of territories or customers
  3. Any activity by Knexus, which involves the exchange of information regarding prices, pricing method or costs of production, or sales or distribution
  4. Any activity which may be construed as forestalling or limiting basic research or the development of any product, process or service

It is the responsibility of customers to make sure no information is divulged in Knexus that is based on protected trade secrets. Customers recognise that any exchange of information or practice resulting from antitrust violations is the responsibility of the customers involved. All information or exchange done by customers must be done with the intention of not breaking any anti-trust policies among companies inside the same industry.

Knexus will not be held responsible for any anti trust violations as a result of content or collaboration exchange among customers from the same industry.

MATTERS BEYOND THE REASONABLE CONTROL OF EITHER PARTY

If either party is unable to perform any of its obligations due to any matter beyond its reasonable control, then that party shall have no liability to the other for that failure to perform.

TRANSFER OF RIGHTS AND OBLIGATIONS

Neither party may transfer any of their rights or obligations under the Terms & Conditions, without the written consent of the other party.

STATUTE OF LIMITATIONS

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Terms and Conditions must be filed within one (1) year after such claim or cause of action arose or be forever barred.

SEVERABILITY

If a court of competent jurisdiction holds any provision of these Terms and Conditions invalid, illegal or unenforceable for any reason, such provision shall be severed and the remainder of its provisions will continue in full force and effect as if these Terms and Conditions had been executed with the invalid, illegal or unenforceable provision omitted.

PRIOR AGREEMENTS

This agreement supersedes any written, electronic, or oral communication you may have had with Knexus or any agent or representative thereof, and constitutes the complete and total agreement between the parties.

LAW AND JURISDICTION

English Law, excluding any laws that direct the application of another jurisdiction's laws, shall govern this agreement and any dispute arising between the parties to these Terms and Conditions.

SECURITY

Knexus provides its customers with a secure online & offline experience. To do this, we use a variety of security measures to maintain the safety and confidentiality of your personal information. All user registration information is contained behind a firewall and is only accessible by a limited number of Knexus employees who have special access rights to our production systems. The security of your personally identifiable information is important to us. Unfortunately, no system of transmitting data over the internet or security system can be guaranteed to be 100 per cent secure. As a result, while we strive to protect your personally identifiable information, we cannot guarantee the security of our servers, the means by which information is transmitted between your computer and our servers, or any information provided to us or to any third party through or in connection with Knexus Sites. You provide all such information at your own risk.

5. Newsletters and other Email Communications

Knexus may launch newsletters for some or all of the Knexus sites. In order to sign up to receive regular newsletters, users must submit information including a valid email address and demographic information such as location and interests. This information will be used in aggregate form only in order to assess general user interest in various internal and third party products and services, and your personal and contact information will not be passed to any other organization. Users who choose to sign up for a newsletter will receive regular emails from the site.

6. Cookies

Knexus sites may use cookies. A cookie is a small piece of information sent by web server to a web browser, which enables the server to collect information from the browser. We may use both session ID cookies and persistent cookies. For the session ID cookie, once users close the browser, the cookie simply terminates. A persistent cookie is a small text file stored on the member's hard drive for an extended period of time. Persistent cookies can be removed by following Internet browser help file directions. By setting a cookie on a Knexus site, users will not have to log in a password more than once, thereby saving time while on the site's discussion board. We store a cookie on each member's machine that contains a username and encrypted password. 7. Third Party Cookies

Some of our business partners may use cookies on our site (for example, advertisers). However, Knexus has no access to or control over these cookies, once we have given permission for them to set cookies for advertising. This privacy statement covers the use of cookies by Knexus only and does not cover the use of cookies by any advertisers.

8. Third Party Advertising

Any ads appearing on Knexus sites are delivered to users by Google, among other services. Information about user's visits to Knexus sites, such as number of times they have viewed an ad (but not username, date of birth, or any other personal information), is used to serve ads to users on this site.

9. Log Files

Like most standard Web site servers we use log files. This includes internet protocol (IP) addresses, browser type, internet service provider (ISP), referring/exit pages, platform type, date/time stamp, and number of clicks to analyze trends, administer the site, track user's movement in the aggregate, and gather broad demographic information for aggregate use. In the event Knexus goes through a change of business status such as a merger, acquisition by another company, or sale of a portion of its assets, member's personal information will, in most instances, be part of the assets transferred.

12. Links to Third Parties

The Knexus sites contain links to other sites that may collect personal information about you. Please be aware that Knexus is not responsible for the privacy practices of such other sites. Be aware when you leave our site and read the privacy statements of each and every Web site that collects personally identifiable information. Your personally identifiable information will be held and used by us in accordance with this Privacy Policy and UK data protection legislation. You have a right to access the personally identifiable information that is held about you. Please note we will require your name, address, and a cheque for £10 payable to Knexus Ltd. to complete this process.
